On the heels of transactions involving Oklahoma, South Carolina and Virginia concrete reinforcement suppliers, White Cap has acquired Ohio-based Dayton Superior Corp., a top player in concrete forming accessories and chemicals. With more than a century of jobsite presence, Dayton Superior brings trusted products, innovative technology, knowledgeable associates, and new value-added services. The latter include significant design, engineering, estimating and takeoff, plus research and development capabilities suiting much of the White Cap portfolio.
“We have relied on Dayton Superior as a close partner for many years. This transaction is both a continuation and deepening of this strong relationship to benefit our customers and associates,” says White Cap CEO Alan Sollenberger. “Dayton Superior’s strong teams have the technical and operational expertise to help us expand our value-added services and grow our one-stop shop.” The Fleet-Lift System typifies Dayton Superior’s approach to engineering and tailoring hardware for precast or cast-in-place concrete.
“Our new teammates have incredible relationships, experience and technical expertise that are critical to our customers,” affirms Chief Operating Officer Scott Riggs. “This leadership team has revitalized the Dayton brands, and we believe this combination will bring our customer service levels to new heights.”
“White Cap and Dayton Superior have complementary company cultures that are focused on building trust with customers through relationship-building and project selling, while using the strength of teamwork to deliver excellent service,” adds Dayton Superior CEO Mark Carpenter, who will continue to lead the business and report to Riggs.
Dayton Superior brings its new suitor distribution centers, global manufacturing and sourcing capabilities, rental yards, plus a centrally located Innovation Center for customer training along with new product development and testing—all supported by nearly 700 associates located across 32 U.S. states and five countries. Dayton Superior offers complementary products and services needed for all types of specialty construction projects. Aztec, BarLock, Symons, Steel-Ply, Superior Tilt, Tilt-Werks and Taper-Lock are among its chemical, accessory, forming or shoring brands for cast-in-place or precast concrete.
Debevoise & Plimpton LLP served as legal counsel to White Cap for the transaction. Thompson Hine LLP and RBC Capital Markets served as Dayton Superior legal counsel and investment banker.
